A Month of Building — Myndsheer Update

Hello, Investors,

It’s been a busy month at Myndsheer, and I wanted to catch you up on what the team’s been building, who’s joined us, and where we’re still pushing to get better. As always, I’ll give you the good news and the honest news together.

Russell Washington is now VP of Operations

Russell has taken on a bigger role running the day-to-day of Myndsheer, and it’s already showing. He’s led the revisions of our Xero accounting setup that’s more focused on project-based accounting — with a refreshed chart of accounts, project-level financial reporting so we can finally see which client work is actually profitable, and a tighter working relationship with our bookkeeper, Mirza.

He’s also been the driving force behind getting more out of HubSpot: our client work, tasks, and support tickets now live in one place instead of scattered across email, so nothing slips through the cracks.

On top of that, Russell put a standing “Client Communication Review” on the calendar so we’re checking in on every active account on a regular rhythm, not just when something goes wrong.

Three Summer Interns Wrapped Up Their Six Weeks With Us

Through NYC’s Summer Youth Employment Program, we hosted Fedora Joseph, Emme Aviles, and Chaniah Flicking for a six-week run this summer. They dug into website and brand audits, digital equity research, and helped review video content for Alpha Communities Foundation. It’s the kind of work that gives young people a real look at what a small agency does day to day, and it’s given us an extra set of hands during a busy stretch. Thank you to all three for the energy they brought.

A Client With a Bigger Idea: Democratic Rules Society, LLC

Our engagement with Adrian Stratton and Democratic Rules Society, LLC has grown from web asset development a marketing and conversions project into a monthly retainer, with the first payment landing earlier this month. We’ve also drafted an MOU with them covering international marketing services, tied to a launch they’re targeting for March 2027. It’s early, but it’s exactly the kind of relationship we want more of — a client that started with one project and is now thinking bigger with us.

Email and Text Modernized

We finished moving off Mailchimp and onto Brevo for both email and SMS. It’s a lower-cost platform and gives us email and text marketing, and better SMTP for all web clients needing emails to get through to their intended targets. We’re still working through Twilio’s toll-free number verification for SMS (their compliance review flagged some opt-in language we need to tighten up), so text messaging isn’t fully live yet — but the email side is migrated, and audiences have been cleaned up and merged in the process.

Video Work Worth Watching

Two client video efforts stood out this month. For the African American Historical Society of Rockland County (AAHS), we wrapped a series of “Black Lives in the Hudson Valley” event videos now live on their site. And for Alpha Communities Foundation (ACFI), we’ve been producing a leadership video series featuring their board members — the newest, a spot with board member Rob Hardy, is ready to watch here: Rob Hardy video.

Our improved video services are thanks to US based video pro, Sebastian, who has been great with videography, client facing support, and production direction. The addition of Yared from Ethiopia and Karim from Egypt have anchored our post production vitality and at phenomenally lower costs.

The Honest Part

Here’s where I want to be straight with you: revenue is still inconsistent month to month. We’re doing good work and clients keep coming back for more, but too much of our income is still project-based rather than recurring. The moves this month — Democratic Rules Society shifting to a retainer, tighter financial visibility through Xero, and Russell’s push to run the business more consistently — are all aimed at fixing that.

We are pushing the rest of August and September to close on outstanding retainer based quotes to RentalHist, MidWestern Region Conference (Alpha’s MWRC), Alpha Real Estate Summit, and Excelsior Solutions.

We’re not there yet, but we’re building toward it deliberately rather than hoping it happens on its own.

Client Spotlight: Alpha Communities Foundation, Inc. — One Year In, and Growing

I’m excited to share a client story that shows exactly the kind of relationship Myndsheer is focused on growing: the Alpha Communities Foundation, Inc. (ACF), the philanthropic arm connected to Alpha Phi Alpha Fraternity’s community impact work.

We kicked things off in July 2025 with a full brand identity and WordPress website build. A year later, ACF is one of our most active accounts — 11 invoices, six-plus service lines, and a digital presence that’s actually driving results for their mission.

The engagement has grown well past “just a website.” Over the past year we’ve built and run:

Since July 2025, Myndsheer has invoiced ACF $17,753.74 across 11 invoices, with $16,598.74 already collected. It’s a great example of how a single client relationship expands over time — starting with one project and growing into a recurring, multi-service partnership.

ACF is exactly the kind of growth story we want more of. This client started with a single project and, because of the work Myndsheer has delivered, kept coming back for more.

Myndsheer’s learnings from this experience is on improving our communications cadence and emphasis on asset value growth, client upselling on services they actually need, and right-sizing our price to value strategy allowing us to raise pricing and margin going forward. 

That’s the model — deliver real results, earn the next engagement, and grow the relationship account by account.

Myndsheer signs MOU with Kemet Capital LLC

Myndsheer and Kemet Capital LLC, (https://kemetcapitalllc.com) established a business collaboration to mutually support client engagements through a shared referral, service collaboration, and bidding framework.

Within one week of executing the MOU, Kemet Capital has referred Myndsheer to its client the Frederick Douglass Housing Corporation, based in Washington, DC. Myndsheer has successfully provided graphic design services and received additonal work for branding logo design.

Quirk Mentoring strategic venture lands first client purchase order

Good News! The Quirk Mentoring strategic venture between Myndsheer, K.E.Y.S. Coaching and Consulting, and A Better Tomorrow Services Corp, received a $15,000 purchase order today from the Health, Arts, Robotics, and Technology (HART's) high school in Cambria Heights, NY.

Quirk Mentoring guides young adults to BECOMING BRILLIANT PROFESSIONALS by exploring their gifts, providing tangible career skills, and preparing them for professional internships. Myndsheer holds a 50% stake in the strategic venture and is the developer of our EdTech Quirk Mentoring learning management system (LMS).

In our inaugural year, the collaborative venture intends to deliver professional mentoring, workforce development and educational services to hundreds of young adults across multiple schools.

Myndsheer support FocusQuest at Power Partner Fair for DOE Queens So. high schools

What’s the difference between Common Stock and Preferred Stock?

Common stock is a type of security that represents a fractional equity ownership stake in a company. Common stockholders (or common shareholders) are granted certain rights, such as voting rights on company decisions. These rights depend on the company’s charter or stockholders’ agreements, as well as the corporate law of the company’s state of incorporation.

In a private company, common stock is usually issued to founders and early employees in the form of restricted stock.

Common shares are typically the last to receive proceeds based on liquidation preference, which means that preferred stockholders and creditors will be paid first during a liquidity event (such as a merger, acquisition or IPO); common stockholders then receive any remaining assets.

Preferred stock is a type of equity ownership that offers expanded rights and liquidation preferences to shareholders. Private companies typically issue preferred stock to investors—including venture capitalists, angel investors, and private equity firms—during a funding round.

The special rights and protections attached to preferred shares give investors a certain level of security, predictability, and flexibility in exchange for their capital. Since preferred shareholders get primary access to company assets during a liquidity event or bankruptcy, preferred stock is considered less risky than common stock.

Why is Myndsheer issuing convertible venture debt?

Convertible Debt and Notes

Convertible debt is a way for Myndsheer to raise capital in our early stages of development. Generally, convertible debt facilitates capital investments from friends and family, incubators, angel groups, seed funds, some venture capital funds, and others.

Myndsheer is using a conventional fundraising method familiar to the investor community and to many in the lay community.  We are providing transparency to our books, significant  accomplishments, growth prospects, term sheets and agreements, and a level of return commensurate with or better than your investment risk. 

What Is a Convertible Note?

A convertible note is a short-term debt agreement that converts into equity at a future date. Usually, this happens when one of these events takes place:

  • + The company raises enough capital to reach a pre-determined benchmark.
  • + The term of the loan expires.
  • + The company is sold.

Practically speaking, investors loan money to a startup company in an early round of financing. The company can either pay the loan back with interest or give the investors equity in the company later after it has had time to grow. 

These notes enable a company to raise capital without making an explicit public valuation. In the agreement, the parties make their own estimate of the company’s value. This gives the company and the investor more flexibility to set their own terms for repayment and conversion. 

Companies that issue convertible notes can benefit from reduced cash interest payments on their business loans. Myndsheer is choosing to pay this interest as an additional inducement. When the note converts, the debt is retired. 

Convertible notes are popular with smaller companies and familiar to many investors. They are simple and inexpensive.
